Effective Date: May 18, 2023
This Data Processing Agreement ("Agreement") is entered into by and between the customer ("Customer") and LISThero Inc., doing business as Lazy AI ("Service Provider").
For the purposes of this Agreement, the terms "Personal Data", "Data Subject", "Processing", "Subprocessor", and "Supervisory Authority" shall have the same meaning as described in the General Data Protection Regulation (GDPR).
2.1 Scope and Purpose of the Processing: Service Provider agrees to process Personal Data on behalf of Customer. The scope, nature, purpose, and duration of the processing shall be as described in the Service Agreement between Customer and Service Provider.
2.2 Instructions for Data Processing: Service Provider will process Personal Data in accordance with Customer's documented instructions.
2.3 Confidentiality: Service Provider will ensure that any person it authorizes to process Personal Data shall protect the Personal Data in accordance with Service Provider's confidentiality obligations under the Service Agreement.
Service Provider will implement appropriate technical and organizational measures designed to protect Personal Data against accidental or unlawful destruction, loss, alteration, unauthorized disclosure, or access.
Service Provider shall not subcontract any processing of Personal Data to a third party subprocessor without the prior written consent of the Customer.
Service Provider will provide reasonable assistance, including by appropriate technical and organizational measures and taking into account the nature of the processing, to assist Customer in the fulfillment of Customer’s obligation to respond to requests from Data Subjects.
Upon termination or expiry of the Service Agreement, Service Provider shall, at the choice of the Customer, delete or return all Personal Data to the Customer and delete existing copies unless required to retain the Personal Data by law.
